Ursa Major Technologies, a U.S. aerospace and defense company specializing in hypersonics, solid rocket motors and space propulsion, has agreed to go public through a merger with Bleichroeder Acquisition Corp. III.

The transaction values the combined company at approximately $2.3 billion and is expected to close in the first quarter of 2027, subject to regulatory and shareholder approval.

### $2.3 Billion Valuation

The deal gives Ursa Major an estimated **$1.6 billion pre-money equity valuation** and approximately **$2.3 billion post-transaction valuation**. It also includes at least **$350 million in PIPE financing**, with approximately $110 million expected to be funded when the agreement is signed. Depending on shareholder redemptions, Ursa Major could retain as much as another $345 million in proceeds.

The combined company is expected to trade on the **Nasdaq**, with the transaction scheduled to close in Q1 2027 if all conditions are met. The SPAC is expected to be renamed **Inflection Point Mach X Bleichroeder Corp.** and use the ticker **IPXX**.

### Ursa Major's Focus on Hypersonics

Founded in 2015, Ursa Major has developed propulsion technologies for **hypersonic weapons, solid rocket motors and space systems**. According to the company and Reuters, it has conducted more than **5,500 ground tests and approximately 140,000 seconds of testing**, with its engines supporting more than a dozen successful hypersonic missions.

The company supplied the liquid rocket engine that powered **Stratolaunch's Talon-A reusable hypersonic vehicle** during a successful 2025 test, demonstrating its propulsion technology in a flight environment.

### Capital to Expand Missile Production

The new funding is expected to help Ursa Major increase production across several areas, including **solid rocket motors, the HAVOC Missile System, liquid hypersonic engines and space mobility systems**.

The timing is significant as the U.S. military looks to expand domestic production of missile components and reduce pressure on a highly concentrated solid-rocket-motor industrial base. Ursa Major has increasingly positioned itself as an alternative supplier using advanced manufacturing techniques to increase production speed and scalability.

### $10 Million U.S. Navy Rocket Motor Contract

The public-market deal follows several important developments for Ursa Major. In July, the **U.S. Navy awarded the company a $10 million development contract for its MK 104 solid rocket motor**, supporting critical design review and static-fire testing.

The MK 104 is used in the Standard Missile family, including the **SM-2 and SM-6**. Ursa Major also completed a **$25 million joint Solid Rocket Motor Manufacturing Pathfinder Program** with the U.S. Navy and Office of Strategic Capital. The program involved designing, manufacturing, and static-firing a 10-inch solid rocket motor prototype and developing its propellant.

### Expanding U.S. Manufacturing

Just days before announcing the public-market deal, Ursa Major opened a new manufacturing facility in **Longmont, Colorado**. The company says the facility expands its capacity for avionics and in-space propulsion while adding additional manufacturing capacity for hypersonics and solid rocket motors.

The company also plans to expand its Colorado operations into larger-scale solid rocket motor production, supporting what it describes as growing customer demand.

### Why the Deal Matters

The transaction reflects growing investor interest in defense technology companies as governments increase spending on **hypersonic weapons, missile defense, drones and other rapidly deployable systems**. Reuters notes that the U.S. is increasing investment in hypersonic technology amid competition with China and Russia.

For Ursa Major, going public could provide the capital needed to move from developing and demonstrating propulsion technology toward **large-scale production of critical missile and hypersonic components**.
